Gray Harbor Digital (“GHD”) is a leading digital marketing company doing business within the United States and internationally.  GHD is committed to your privacy.  Our goal is to maintain your trust and confidence when handling personal, business and financial information from you. 

WHAT WE COLLECT

By using our websites and services, you consent to the collection and use of your information as outlined in this Privacy Policy. If you do not agree with the terms of this Privacy Policy, please do not use our websites or services.

This Gray Harbor Digital Privacy Policy applies when you visit our websites www.grayharbordigital.com, www.bayfrontmediaco.com, enter into a Publisher or Advertiser Agreement with GHD or any of its affiliates or subsidiaries including but not limited to Bayfront Media, Lighthouse AI, and/or contact us for support or other offerings.  When any of the foregoing apply, GHD will collect information from you including but not limited to contact information, payment information, and login information.  In addition, other information that may be collected includes: IP Address, Cookies, E-Mail Address, Phone Number, GEO location, Browser User Agent, Device ID, Domain Name(s), other Data Trackers.

WHAT WE USE

GHD uses contact information, including email address and mobile numbers, to communicate with you if you are an Advertising Agent or Publisher Partner to our services.  We use your payment information to process payments for your services.  We also use the information we collect including contact information, login information, online identifiers, and data trackers to create a user profile for our website.

Login information and data trackers are used to secure the limited access portions of our website and services.  Data trackers help our web pages work.  They also help us to improve our content and to customize the content and/or layout of our page for each individual visitor.  Additionally, online identifiers and data trackers help us to prevent and reduce fraudulent practices. 

WHAT WE SHARE

GHD works with other companies to help run our business efficiently and effectively.  Accordingly, GHD needs to share some of your personal information with these companies from time to time so that they can perform requested services.  GHD will not sell or share your personal information for third-party companies’ promotional purposes.  These companies are required to meet strict legal and industry guidelines and standards to ensure your data is protected.

GHD firmly believes that the security of your personal information is a serious issue and GHD is committed to protecting the information we receive from you.  We have reasonable, reliable and appropriate administrative, technical and physical safeguards in place to protect against the loss, misuse or alteration of information that we have collected from you at our site.  Our website is scanned on a regular basis for security holes and known vulnerabilities in order to make your visit to our site as safe as possible.  We use regular Malware Scanning technology.  We do use a SSL certificate.  Although GHD takes precautions to protect your data, no data transmission over the internet can be guaranteed to be 100% secure.

GHD stores your personal information on servers of third-party companies GHD hires to provide services. 

Your personal information will be stored and retained as long as GHD’s business needs require and as needed to comply with legal obligations and enforceable written agreements.

We may use cookies and similar tracking technologies to collect information about your browsing activities. You can manage your cookie preferences through your browser settings.

MARKETING

From time to time, GHD may share or sell your information to trusted vendors and business partners.  These companies provide business services to GHD or on our behalf, such as to market services and products to you, monitor activity, help to maintain our customer database, and administer emails, surveys or other contests.  You have the right to withdraw your consent to receive these direct marketing communications from us by contacting our Compliance Department at compliance@grayharbordigital.com

DISPUTE RESOLUTION

Any dispute concerning the use of your personal information can be directed to our Compliance Department at compliance@grayharbordigital.com

The parties agree that any dispute, claim, or controversy arising out of or relating to this Privacy Policy or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in New Jersey, before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the Award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction. The arbitrator shall apply New Jersey law to the merits of any dispute or claim, without reference to rules of conflict of law. The parties hereby consent to the exclusive jurisdiction of the federal and state courts located in New Jersey for any actions or proceedings arising out of or relating to this agreement that are not subject to the arbitration agreement above.

CHANGES

From time to time, GHD’s privacy policy will be updated and all changes will be posted on the website at www.grayharbordigital.com.

COMPLIANCE WITH LAW

GHD endeavors to comply with U.S. and International laws regulating the digital advertising industry, including but not limited to the General Data Protection Regulation (GDPR) for the European Union, the California Consumer Privacy Act (CCPA) for the United States, and other relevant laws.

LIMITATION OF LIABILITY

GHD and its affiliates and subsidiaries hold limited liability when it comes to your use of its services. 

To the fullest extent permitted by law and except as otherwise provided herein, neither party shall be liable to the other for any indirect, consequential, special, punitive, or incidental damages arising out of or related to this agreement, including but not limited to lost profits, lost revenue, loss of data, or loss of business opportunity, regardless of whether such damages were foreseeable or whether the party has been advised of the possibility of such damages.

Notwithstanding anything to the contrary contained herein, neither party’s liability under this agreement for any direct damages shall exceed the total amount paid or payable by the Client to the Service Provider under this agreement during the [specify time period, e.g., twelve (12) months] immediately preceding the event giving rise to such liability.

Nothing in this agreement shall limit or exclude liability for (i) death or personal injury caused by negligence, (ii) fraud or fraudulent misrepresentation, (iii) breach of any obligations implied by law, or (iv) any other liability which cannot be limited or excluded by applicable law.

This limitation of liability shall apply to the fullest extent permitted by applicable law, and if any part of this provision is held to be invalid or unenforceable under New Jersey law, the parties agree that the remaining provisions of this agreement shall remain in full force and effect.

Any dispute arising out of your use of GHD’s services shall be governed by New Jersey Law and any action shall be decided within the jurisdiction of New Jersey State & Federal Courts.
